Acquisition Communication and Team Trust Research Note
Research finding
The strongest usable primary study is David Schweiger and Angelo DeNisi's 1991 longitudinal field experiment, "Communication with Employees Following a Merger." It examined a "realistic merger preview" communication program across two plants after a merger announcement. The study found that the intervention reduced some uncertainty and helped on several measured outcomes over time.
This was one field experiment in a specific merger setting. It does not prove that one communication script preserves trust, that more disclosure is always lawful, or that all employees will interpret an outcome alike.

Practical synthesis
The study supports a bounded point: silence and rumor are not neutral, and useful communication includes both likely changes and honest uncertainty. The public guide should convert this into a scenario-planning framework, not a promise of employee acceptance.
Leaders should prepare communication for several possible states: signed deal, failed deal, changed structure, leadership departure, asset or license carve-out, continuing independence, and post-announcement integration.
The operating sequence is:
| Stage | Work |
|---|---|
| Before exclusivity | Define decision principles, map stakeholders, identify counsel and board gates, and prohibit unsupported promises |
| During confidential talks | Maintain a verified fact record, track who can know what, prepare multiple scenarios, and protect operational continuity |
| Immediately before announcement | Reconcile legal documents, compensation facts, roles, customer implications, and manager language |
| Announcement | Separate known facts, current decisions, unknowns, deadlines, and the next update |
| After announcement | Answer questions consistently, record commitments, correct errors, and report what changed |
Legal and governance boundary
The public guide cannot tell a founder when disclosure is legally required or permitted. Transaction confidentiality, securities law, employment law, privacy, contractual duties, fiduciary duties, works council requirements, and jurisdiction may all matter.
The public guide can tell leaders to bring a scenario communication plan to qualified counsel and the governing body. It can also insist that confidentiality is not permission to invent certainty or make informal promises.
Windsurf boundary
E077's trust concern is valid as a viewpoint about the gap between employee expectations and the eventual structure. The public record does not prove what every employee was promised, what every employee knew, or whether a different disclosure timeline was legally possible.
