Cycle

The operating cycle includes an annual calendar, issue intake, decision intake, pre-read, board meeting or valid consent process, minutes and authoritative record, owner follow-up, and between-meeting monitoring.

The meeting separates governance business, information, decisions, and strategic discussion.

Decision packet

A decision-ready packet states the question, recommendation, alternatives, material facts, assumptions, risks, conflicts, authority, prior discussion, and requested action.

Pre-meeting conversations can surface questions but must not become an undisclosed substitute for the board’s valid process.

Records

Minutes and authoritative board materials follow counsel and company policy. A separate operating follow-up record may track owner, due date, dependency, and reporting route, but it must not expand what the board decided.

Access should account for personal, privileged, financial, security, competitive, and regulated information.

Review and refresh

Assess timeliness, decision readiness, required business, strategy time, conflicts, minutes, and follow-up. Refresh after changes to the entity, jurisdiction, charter, bylaws, agreements, board, financing, committees, regulation, risk, strategy, or company stage.
