Co-Founder Trial Record
Purpose
A co-founder trial is a bounded piece of real customer and product work that lets two people observe pace, reliability, judgment, communication, conflict, ownership, integrity, and complementary capability before major legal, financial, or equity commitments.
It is not a substitute for counsel, formation documents, intellectual-property agreements, employment analysis, securities advice, or a complete founder relationship.
YC's official Startup School index includes a talk on successful co-founder relationships, and Harj Taggar's current YC profile links a talk about finding the right co-founder.

Pre-brief
| Area | Agreement before work |
|---|---|
| Question | What should the trial teach both people? |
| Scope | One customer, product, technical, or operating problem |
| Duration | Defined start, stop, review date, and expected availability |
| Deliverable | Observable result, not open-ended company building |
| Roles | Work each person owns and where collaboration is required |
| Decisions | Which decisions are individual, shared, or escalated |
| Communication | Channels, cadence, response expectation, and documentation |
| Users and data | Consent, access, privacy, security, retention, and prohibited use |
| Money | Approved expenses, reimbursement, compensation, and authority |
| Confidentiality | What is private and how it may be used |
| Intellectual property | Existing material, trial output, tools, and unresolved ownership questions |
| Conflicts | Employers, contracts, competing work, and disclosure |
| Exit | How either person can stop and what happens to work, data, expenses, and users |
If these subjects create legal uncertainty, pause and obtain current advice before the trial.
Project design
Choose work that remains useful even if the relationship ends. Include one user decision, one build or delivery decision, and one real disagreement or tradeoff.
Avoid fake exercises and undefined unpaid labor. Do not use a trial to extract work from a person who lacks real choice, clear terms, or a fair path to stop.
Observation record
Record promises, updates, missed commitments, recovery, handling of bad news, user judgment, technical or operating judgment, ethical choices, spending, documentation, listening, disagreement, repair, and how each person treats confidential information.
The record should describe behavior rather than diagnose personality.
Retrospective
Each person should first write a private retrospective. Then compare observations.
Discuss what created trust, what reduced it, which work was complementary, where ownership was unclear, how conflict changed the decision, what company and risk each person wants, and which legal or operational questions remain.
The valid outcomes are continue toward formal review, run another bounded trial, change roles, remain collaborators without founding together, or stop.
Formal boundary
Before equity, incorporation, intellectual-property transfer, fundraising, employment, contractor arrangements, compensation, bank access, binding customer commitments, or securities activity, obtain appropriate legal and tax review.
The SBA's launch guide shows that structure, registration, tax identifiers, licenses, banking, and insurance are separate business decisions.

The trial produces collaboration evidence. It does not create the legal relationship by itself.
