FinCEN's current federal rule does not require entities created in the United States to report beneficial ownership information under the Corporate Transparency Act. The rule also exempts U.S. persons from providing BOI for a foreign reporting company and exempts reporting companies from reporting the BOI of U.S. persons.
The remaining reporting-company definition covers an entity formed under foreign law that registered to do business in a U.S. State or Tribal jurisdiction by filing a document with a secretary of state or similar office. That entity still must be tested against the rule's exemptions.
This is a high-level description, not a determination for any entity or person.

The March 26, 2025 Federal Register rule amended 31 CFR 1010.380 and took effect immediately.
The current eCFR text for 31 CFR 1010.380 defines a reporting company as the relevant foreign-formed, U.S.-registered entity and lists the exemptions.

Treasury's 2026 National Money Laundering Risk Assessment describes the March 2025 rule as the operative tailored implementation and states that covered foreign reporting companies were required to submit BOI effective April 25, 2025.
A Federal Register search for RIN 1506-AB49 on July 28, 2026 returned the March 26, 2025 interim final rule as the newest BOI reporting-rule document under that identifier. This absence check supports, but does not replace, the live agency page and current regulatory text.
Deadline boundary
FinCEN states that a covered foreign entity registered before March 26, 2025 generally had an April 25, 2025 deadline. A covered foreign entity registered on or after March 26, 2025 generally has 30 calendar days after actual or public notice that registration is effective. Exemptions, later changes, corrected reports, disaster relief, and entity facts can alter an operational answer.
