Episode identity
Venture Step E048 was released on December 24, 2024. The raw transcript records Dalton Anderson discussing beneficial ownership information reporting, the Corporate Transparency Act, conflicting court activity, a possible January 1, 2025 deadline, and the October 2024 TD Bank resolution.
The episode is evidence of what Dalton understood and recommended at that point. It is not evidence of the current reporting requirement.
Historical state
The December 2024 discussion occurred after a federal district court had entered a broad preliminary injunction and while appellate activity was changing the practical status of the reporting rule. FinCEN notices and later court records show that this period included multiple changes in a short span.
The Supreme Court's January 23, 2025 order later stayed the Texas Top Cop Shop injunction. FinCEN then announced on February 18, 2025 that reporting requirements were again in effect following a separate district-court action in Smith. Treasury changed enforcement policy on March 2, 2025, and FinCEN published a materially narrower interim final rule on March 26, 2025.
Current-state correction
As verified on July 28, 2026, the FinCEN BOI hub, March 2025 interim final rule, current 31 CFR 1010.380, and Treasury's 2026 National Money Laundering Risk Assessment continue to describe the narrowed reporting population.
Entities created in the United States are exempt under the current rule. Certain entities formed under foreign law and registered to do business in a U.S. State or Tribal jurisdiction can remain reporting companies unless an exemption applies.
TD Bank boundary
The Justice Department resolution and FinCEN action support the episode's broader interest in financial-crime controls. They do not prove that BOI reporting would have prevented the conduct.
